1. THE MICAH 6 PROPRIETARY ENGINE
1.1. Nature of Service: The Micah 6 AI Audit Engine (the "Service") is a specialized technical due diligence platform. It utilizes a proprietary Agentic Audit Pipeline, a multi-layered orchestration of custom diagnostic heuristics, specialized prompt architectures, and high-performance Large Language Models (LLMs).
1.2. Disclosure of Synthetic Content: Pursuant to the EU AI Act (Art. 50) and LGPD Transparency Guidelines, you acknowledge that the analysis and narrative reports are artificially generated. This output represents a synthetic diagnostic assessment based on your specific codebase and processed via our specialized methodology.
2. INTELLECTUAL PROPERTY & OWNERSHIP
2.1. Authority and Warranty of Ownership: You warrant that:

(If B2C): You represent and warrant that you are the sole owner of, or have obtained all necessary licenses, consents, and permissions to, the source code and files ("User Content") uploaded to the Service.

(If B2B): You are an authorized agent of the Entity and have the legal capacity to subject the Entity's proprietary IP to this analysis.
2.2. User Content Ownership: Micah 6 AI acknowledges that the User retains all rights, title, and interest in the original source code uploaded to the Service. The Service does not claim ownership over the raw files submitted for analysis.
2.3. Proprietary Logic and Methodology: All rights, title, and interest in the Service, including but not limited to:

The proprietary inference logic and algorithmic orchestration used to parse code;

The custom prompt architecture and specialized heuristic weights developed by Micah 6 AI;

The visual design, structure, and formatting of the generated reports;

All system-level metadata and de-identified aggregated insights;
...are and shall remain the exclusive property of Micah 6 AI. You are granted a limited, non-exclusive, non-transferable license to use the Output (the PDF Report) for your internal business or academic purposes only. You are strictly prohibited from reverse-engineering the Service’s analytical methodology to build a competing product.
3. 2. DISCLAIMERS & LIMITATION OF LIABILITY
INDEMNIFICATION
3.1. "As-Is" and "As-Available": The Service, including all reports generated, is provided "AS-IS." Micah 6 AI expressly disclaims all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
3.2. No Professional Advice: The reports generated by the Service are produced via Large Language Models (LLMs) and are diagnostic in nature. They do not constitute legal, financial, or technical advice. Micah 6 AI does not guarantee the detection of all security vulnerabilities, backdoors, or compliance failures.
3.3. Liability Cap: To the maximum extent permitted by law (including Art. 7 of the LGPD and Art. 82 of the GDPR), Micah 6 AI’s total liability for any claims arising out of or related to the use of the Service shall not exceed the amount paid by the User for the specific transaction giving rise to the claim.
3.4. Exclusion of Consequential Damages: Micah 6 AI shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, failed M&A transactions, investment losses, business interruption, or business decisions made based on the report, even if advised of the possibility of such damages.
3.5. Purpose of Use: You agree that the Service is used solely for internal risk assessment, academic research, or tech due diligence purposes. Any unauthorized use of third-party code is a material breach of this Agreement.
3.6. Specific Disclaimers: Micah 6 AI is not liable for errors or "hallucinations" in the AI-generated report nor the failure to detect specific bugs, vulnerabilities, or compliance gaps.
3.8. You agree to indemnify, defend, and hold harmless Micah 6 AI and its affiliates from any and all third-party claims, liabilities, damages, and costs (including reasonable attorney fees) arising from:

Your breach of these Terms;

Your infringement of any third-party intellectual property;

Your use of the generated reports in a manner that causes financial or legal harm to a third party.
4. GOVERNING LAW AND JURISDICTION
4.1. Prohibited Applications: You are strictly prohibited from using the Service to analyze, optimize, or assess source code designed for, or intended to facilitate:

Acts of Violence or Warfare: Including the development of autonomous weaponry or software intended for kinetic military use.

Harassment and Bullying: Code intended to facilitate stalking, cyber-bullying, or coordinated harassment.

Discrimination: Algorithmic logic designed to unfairly discriminate based on race, gender, religion, or protected classes (in violation of LGPD/GDPR ethical guidelines).

Misinformation: Code specifically engineered to generate or disseminate "Fake News," deepfakes for deceptive purposes, or mass-scale disinformation.

Illegal Acts: Any software intended for criminal activity, including malware or unauthorized surveillance.
4.2. Prohibited Content: You shall not upload code that contains malware, illegal content, or data that violates the privacy rights of third parties.
4.3. User Warranty: By submitting User Content, you warrant that the software is not intended for any of the Prohibited Applications nor contains any of the Prohibited Content listed above. Micah 6 AI reserves the right to terminate service and refuse report generation if the analysis engine detects patterns indicative of Prohibited Content.
5. DATA SECURITY & ENCRYPTION PROTOCOLS
5.1. Encryption in Transit: All User Content is transmitted via TLS 1.2+ (HTTPS) encryption protocols. Micah 6 AI does not perform local client-side encryption; the "Secure Checkout" phase refers to the establishment of this encrypted tunnel and the handoff to our secure processing environment.
5.2. Encryption at Rest: Once received, User Content is temporarily stored in an isolated database environment (Supabase) utilizing AES-256 encryption at rest.
5.3. Ephemeral Processing Policy: To minimize data exposure, Micah 6 AI employs an ephemeral lifecycle. Upon the final generation and delivery of the technical report, the underlying source code is programmatically purged from all active production databases. No permanent copies of the raw source code are retained by the Service.
6. NO ENDORSEMENT AND NEUTRALITY OF ANALYSIS
6.1. Automated Neutrality: You acknowledge that the Service is an automated, algorithmic analysis tool. The delivery of a technical report (including suggestions for code optimization, security, or architectural improvements) does not constitute an endorsement, validation, or moral approval of the software’s underlying purpose or end-use.
6.2. Disclaimer of Intentionality: Micah 6 AI is a technical intermediary. We disclaim all responsibility for how the findings of a report are applied. If the Service provides optimization suggestions for a codebase that is subsequently used for harmful or illegal purposes, the responsibility lies solely with the User and the software's developers.
6.3. Third-Party Harm: Micah 6 AI shall not be held liable for any damages, legal actions, or social consequences arising from the "real-world" deployment of software analyzed by the Audit Engine.
7. GOVERNING LAW AND JURISDICTION
7.1. International Use: This Service is governed by the laws of the Federative Republic of Brazil (specifically the LGPD) and, where applicable, the GDPR and US state privacy laws.
7.2. Dispute Resolution: Any disputes shall be resolved in the courts of Rio de Janeiro, Brazil, or through binding arbitration if agreed upon by both parties.
